Affiliate Program Terms

1. Program Overview & Acceptance

The Choreopass Affiliate Program ("Program") allows choreographers to earn commissions by referring new users to the Platform. By participating in the Program, you agree to these Affiliate Program Terms, which supplement our main Terms of Service.

We reserve the right to modify these terms at any time with 30 days' notice. Continued participation after changes constitutes acceptance of the new terms.

2. Eligibility Requirements

To participate in the Affiliate Program, you must:

• Have an active Choreopass choreographer account in good standing
• Be at least 18 years old (or age of majority in your jurisdiction)
• Have a valid Stripe Connect account for receiving payouts
• Comply with all applicable laws and regulations
• Agree to promote Choreopass ethically and in accordance with these terms

3. Commission Structure

3.1 Commission Rate

• Standard rate: 15% commission on all purchases made by your referred users
• Commissions are calculated on the net purchase amount (after any discounts or refunds)
• Commission rates may be adjusted with 30 days' notice to affiliates

3.2 What Qualifies for Commission

You earn commission on:

• All routine and bundle purchases made by users you refer
• Purchases made at any time after the referral is established (lifetime commissions)
• Multiple purchases by the same referred user

3.3 What Does NOT Qualify

• Self-referrals (using your own referral code)
• Fraudulent or suspicious transactions
• Purchases made before the referral was established
• Refunded or disputed transactions
• Purchases from accounts flagged for violation of our Terms of Service

4. Referral Rules & Tracking

4.1 How Referrals Work

• Each choreographer receives a unique referral code and link
• When someone clicks your link, the referral code is stored in their browser
• The referral code remains valid for 30 days from the initial click
• If they create an account within 30 days, you receive credit for the referral
• You earn commission on all purchases made by that user indefinitely

4.2 Referral Attribution

If a user clicks multiple referral links, the first referral code encountered takes precedence. Once a referral relationship is established at account creation, it cannot be changed or transferred.

5.1 Payout Threshold & Processing

• Minimum payout: $10.00 in pending commission earnings
• Payouts are processed via Stripe Connect to your linked account
• You can request a payout at any time once you meet the minimum threshold
• Payouts typically arrive within 2-7 business days
• We do not charge any fees for processing affiliate payouts

5.2 Payment Responsibility

• You are solely responsible for all taxes on affiliate earnings
• Choreopass will issue tax forms (e.g., 1099) as required by law
• You must provide accurate tax information through Stripe Connect
• Failure to provide required tax documentation may result in payout delays or withholding

5.3 Commission Reversals

Commissions may be reversed or withheld if:

• The referred user requests a refund within the refund period
• A transaction is disputed or charged back
• Fraudulent activity is detected on the referred account
• The referral violates these terms

If you have already received payment for a reversed commission, you authorize us to deduct the amount from future earnings.

6. Promotion Guidelines

6.1 Acceptable Promotion Methods

• Sharing your referral link on social media (Instagram, TikTok, YouTube, etc.)
• Including your link in email newsletters to your audience
• Adding your link to your personal website or blog
• Mentioning Choreopass in videos, posts, or content you create
• Word-of-mouth recommendations to dancers in your community

6.2 Prohibited Activities

6.3 Required Disclosures

You must comply with FTC guidelines and disclose your affiliate relationship when promoting Choreopass:

• Clearly state that you may earn a commission if someone uses your link
• Use disclosure language like "affiliate link" or "I earn a commission"
• Place disclosures prominently where your audience will see them
• Comply with platform-specific disclosure requirements (e.g., Instagram "#ad")

7. Termination & Suspension

7.1 Termination by Choreopass

We reserve the right to suspend or terminate your participation in the Program at any time for any reason, including but not limited to:

• Violation of these Affiliate Program Terms
• Violation of our main Terms of Service
• Fraudulent or suspicious activity
• Promoting Choreopass in an inappropriate or harmful manner
• Account inactivity for more than 12 months
• Legal or regulatory requirements

7.2 Termination by Affiliate

You may leave the Program at any time by discontinuing use of your referral link. Termination does not affect:

• Your right to receive payment for commissions earned before termination
• Existing referral relationships (you continue earning from past referrals)
• Your obligations regarding unpaid commission reversals

7.3 Outstanding Payments After Termination

• If terminated for violations, all unpaid commissions may be forfeited
• If you voluntarily leave or we terminate without cause, you receive earned commissions
• Payments subject to reversal periods may be withheld pending resolution

8. Intellectual Property

8.1 Use of Choreopass Branding

We grant you a limited, non-exclusive, revocable license to use Choreopass name and logo solely for the purpose of promoting the Platform through the Affiliate Program. You may not:

• Modify our logo or branding in any way
• Use our trademarks as part of your business name or domain
• Suggest official partnership, sponsorship, or endorsement by Choreopass
• Use our intellectual property for any purpose outside the Affiliate Program

8.2 Marketing Materials

We may provide optional marketing materials (banners, images, copy) for affiliates to use. Use of these materials is subject to our approval and guidelines.

9. Liability & Disclaimers

9.1 No Guarantee of Earnings

9.2 Independent Relationship

You are an independent contractor, not an employee, partner, or agent of Choreopass. You have no authority to bind Choreopass to any agreement or obligation. You are responsible for:

• Your own business expenses and equipment
• All taxes related to affiliate earnings
• Compliance with applicable laws in your jurisdiction
• Your own promotional methods and strategies

9.3 Limitation of Liability

To the maximum extent permitted by law, Choreopass shall not be liable for any indirect, incidental, special, consequential, or punitive damages related to the Affiliate Program, including lost profits or commissions.

10. Program Changes & Modifications

Choreopass reserves the right to:

• Modify commission rates with 30 days' advance notice to affiliates
• Change the minimum payout threshold
• Add or remove qualifying purchase types
• Update tracking methods or attribution rules
• Suspend or discontinue the Program entirely with 60 days' notice

Material changes will be communicated via email to your registered address. Continued participation after the effective date constitutes acceptance of the changes.

11. Privacy & Data Protection

Affiliate data is handled in accordance with our Privacy Policy. By participating in the Program, you acknowledge that:

• We collect data about your referrals and earnings for Program administration
• We may share aggregated (non-personal) affiliate statistics publicly
• You will not receive personal information about your referred users (only counts and commission amounts)
• We use cookies and tracking technology to attribute referrals

12. Dispute Resolution

If you have any concerns about your affiliate account, commissions, or Program participation:

1. Contact support: Email us at legal@choreopass.com with your concern
2. Review: We will investigate and respond within 7 business days
3. Resolution: We will work in good faith to resolve the issue

Any disputes not resolved through this process shall be governed by the dispute resolution provisions in our main Terms of Service.

13. Governing Law

These Affiliate Program Terms are governed by the same laws and jurisdiction specified in our main Terms of Service. They form an integrated agreement with our Terms of Service and Privacy Policy.
